By accessing or using any part of our Services, whether as a visitor, participant, trainee, customer, or any other user, you agree to be bound by these Terms, our Privacy Policy, Refund Policy, and all other guidelines, policies, and notices referenced herein. This Agreement applies to all users of the site, including individuals and entities.

(UEN: [201219267W]) ("we", "our", or "us") is committed to helping individuals gain deep self-understanding and personal growth through evidence-based character profiling and educational programs. Our Services include training courses, profiling assessments, workshops, coaching and consultation, and related educational content based on the 9 Universal Character Archetypes® (9UCA®) system, a framework developed through extensive research and data analysis.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to all terms and conditions outlined in this Agreement. If you do not agree to these Terms, you must not access or use our Services.

Section 1: Definitions and Interpretation

For the purposes of these Terms:

1.1 "Services" means all educational programs, training courses, workshops, coaching sessions, consultations, profiling tools, assessments, digital products (including e-books, recordings, reports, cards), physical products, online platforms, website content, and any related materials or services provided by UCMHP Academy.

1.2 "Courses" means structured educational programs, whether delivered live (in-person or online), pre-recorded, or in hybrid format.

1.3 "Workshops" means shorter-format practical training sessions or seminars.

1.4 "Digital Products" means downloadable or online-access materials, including e-books, profiling reports, character analysis cards, video recordings, and software tools.

1.5 "BNPL Provider" means third-party buy-now-pay-later or installment payment services such as Atome, Grab PayLater, or similar platforms.

1.6 "User Content" means any data, information, text, images, or other materials you submit or upload through our Services.

1.7 "Force Majeure Event" means any event beyond our reasonable control, including but not limited to acts of God, pandemics, government restrictions, natural disasters, strikes, telecommunications or internet failures, or unavailability of trainers due to illness or emergency.

1.8 Headings are for convenience only and do not affect interpretation.

Section 2: Acceptance of Terms

2.1 By enrolling in any training course, programs, workshops, purchasing any product, or using any service offered by UCMHP Academy Pte. Ltd., you agree to comply with and be bound by these Terms and all related policies, including our Privacy Policy and Refund Policy.

2.2 UCMHP reserves the right to refuse service, enrollment, or access to any individual at its discretion, subject to applicable laws.

2.3 These Terms may be updated from time to time. Continued use of our Services after any changes constitutes acceptance of the updated Terms.

Section 3: User Eligibility

3.1 You must be at least 18 years of age to use our Services. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

3.2 You represent and warrant that you have the legal capacity to enter into this Agreement and that all information you provide is accurate, complete, and current.

3.3 Our Services are not available to individuals or entities in jurisdictions where provision of such Services would be unlawful or where we do not operate.

Section 4: Description of Services

4.1 UCMHP Academy provides educational and training services related to the Universal Characteristic Method of Human Profiling (UCMHP), a proprietary profiling system developed using mathematical science, statistical analysis, and principles derived from the Pythagorean Theorem.

4.2 Our courses, programs, workshops, tools, assessments, and materials are delivered by trained and experienced coaches who are professionals in the field of human profiling, personal development, and character analysis. Our coaches apply structured methodologies and practical experience to support learning and skill development.

4.3 All Services and materials are provided for educational and personal development purposes only. While our coaches are professionals in their respective fields, the Services do not constitute medical, psychological, legal, financial, or other regulated professional advice.

4.4 Disclaimer of Results: The profiling assessments, tools, and analysis provided are for guidance and self-awareness only. They are not deterministic predictions of behaviour, outcomes, or success. Any decisions or actions you take based on our Services are solely your responsibility. We make no guarantees of specific personal, professional, or financial outcomes.

Section 5: Accuracy of Information

5.1 We make reasonable efforts to ensure that all information on our website, course materials, and communications is accurate and up to date. However, we do not guarantee that all content will always be complete, current, or free from errors.

5.2 You acknowledge that any reliance on such information is at your own responsibility.

Section 6: Changes to Services and Pricing

6.1 UCMHP Academy reserves the right to modify, update, suspend, or discontinue any part of the Services, including courses, programs, workshops, materials, tools, and pricing, at any time without prior notice.

6.2 We may change trainers, venues, dates, or delivery formats (e.g., shifting from in-person to online or hybrid) with reasonable notice. Such changes do not automatically entitle you to a refund, subject to our Refund Policy.

6.3 We shall not be liable to you or any third party for any changes, suspensions, or discontinuation of the Services.

Section 7: Registration and Enrollment

7.1 To enroll in any course, programs, workshops, or access certain Services, you must complete the registration process and provide accurate, complete, and current personal information.

7.2 UCMHP Academy reserves the right to accept or reject any enrollment at its discretion.

Section 8: Payment Structure and Billing

8.1 Payment Structure:

Partial Payment (50% Down Payment): Attendance is permitted; however, access to bonuses or additional inclusions will only be granted after full payment is received.

Digital Installments / BNPL (e.g., Atome, Grab PayLater): Access is granted according to the terms of the respective third-party BNPL Provider. Your payment obligations to UCMHP Academy remain in full, regardless of any disputes with the BNPL Provider.

Full Payment Requirement: Access to certain products and services (including profiling tools, books, analysis sessions, and cards) is subject to full payment.

8.2 Billing Information:

• You agree to provide accurate, complete, and up-to-date billing information. UCMHP reserves the right to refuse or cancel orders, limit quantities, or suspend access if billing information is inaccurate or incomplete.

8.3 Payment Methods:

• Payments may be made through official payment links, bank transfers, PayNow, or approved third-party platforms. UCMHP Academy is not responsible for fees, delays, or disputes arising from third-party payment providers.

8.4 Refunds:

• All fees and refunds are governed by our Refund Policy, which forms part of these Terms. By making a payment, you agree to the Refund Policy in force at the time of purchase.

8.5 Outstanding Fees:

• Non-payment or late payment may result in suspension or termination of access to Services, and you remain liable for all outstanding fees, including reasonable collection costs.

Section 9: Course, Workshop, and Program Materials and Access

9.1 Course materials and access details (including online session links) will generally be provided five (5) business days before the course start date.

9.2 Access to course and workshop materials, recordings, and digital content is available for a limited time, depending on the program, from the date of purchase or completion.

9.3 Recording, copying, sharing, or distributing any course, workshop, program content or materials without written permission is strictly prohibited. Any recordings made by UCMHP Academy are for internal quality assurance and training purposes only.

9.4 If we capture your image, voice, or likeness during any session for marketing or promotional purposes, we will obtain your separate written consent.

Section 10: Intellectual Property

10.1 All course materials, systems, methodologies, tools, trademarks, and intellectual property related to UCMHP Academy, including the 9 Universal Character Archetypes® (9UCA®) system, are the exclusive property of UCMHP Academy Pte. Ltd.

10.2 No content may be copied, reproduced, distributed, resold, or used for commercial purposes, including use for AI training, machine learning, or text and data mining (see Section 10.4 below), without prior written consent from UCMHP.

10.3 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for personal, non-commercial educational purposes.

10.4 Prohibition on AI Training and Data Mining

a. All content, materials, methodologies, frameworks, data, and intellectual property provided through our Services, including but not limited to the 9 Universal Character Archetypes® (9UCA®) system, course content, profiling assessments, and proprietary materials, are expressly prohibited from being used for:

• Training, developing, testing, or operating artificial intelligence systems, machine learning models, or large language models

• Text and data mining, web scraping, or computational data analysis for any commercial or non-commercial purpose

• Creating derivative AI models, datasets, or automated analysis systems

• Any form of automated content extraction or systematic copying

b. This prohibition applies to all natural and legal persons, including technology companies, AI developers, data aggregators, research institutions, and third-party service providers.

c. Where you have entered into an individually negotiated agreement with UCMHP Academy that permits specific uses of our content for AI or data mining purposes, the terms of that separate written agreement shall prevail over this general prohibition.

d. Violation of this clause may result in immediate termination of access, legal action for copyright infringement and breach of contract, and claims for damages and injunctive relief.

e. Singapore Law Disclosure: Users are advised that Singapore's Copyright Act 2021 contains a computational data analysis exception that may permit certain text and data mining activities for parties with lawful access. This clause represents UCMHP Academy's reserved rights and contractual terms; enforceability may vary based on the nature of your agreement with us and applicable law. For individually negotiated licensing or B2B agreements, please contact us directly.

Section 11: Third-Party Links and Services

11.1 Our Services may include links to third-party websites, tools, or payment platforms. These are provided for convenience only.

11.2 UCMHP Academy does not control or endorse third-party services and is not responsible for their content, availability, or policies. Your use of third-party services is at your own risk.

Section 12: Personal Information and Data Protection

12.1 Your submission of personal information through our Services is governed by our Privacy Policy, which complies with Singapore's Personal Data Protection Act 2012 (PDPA).

12.2 By using our Services, you consent to the collection, use, and disclosure of your information in accordance with that policy.

12.3 In the course of coaching, profiling, or consultation sessions, you may share sensitive personal information. Such information is treated in line with the Privacy Policy. You must not share personal information about third parties without their consent.

12.4 We have appointed a Data Protection Officer (DPO). Contact details are available in our Privacy Policy.

Section 13: Prohibited Use and Conduct

13.1 You agree not to use our Services or content to:

• Violate any applicable laws or regulations

• Infringe intellectual property rights

• Harass, abuse, defame, or harm others

• Upload malicious code or disrupt systems

• Collect or misuse personal information

• Attempt unauthorized access to systems or content

• Share, resell, or commercially exploit any materials without authorization

• Use login credentials belonging to another person

13.2 UCMHP Academy reserves the right to suspend or terminate access for violations of this section, without refund, and may pursue legal remedies including claims for damages.

Section 14: Term and Termination

14.1 These Terms remain in effect for as long as you access or use our Services.

14.2 We may suspend or terminate your access immediately, without notice, if you:

• Breach these Terms

• Fail to make payment when due

• Engage in conduct that poses legal, reputational, or security risk to us or others

14.3 Upon termination:

• Your right to access the Services ceases immediately

• You remain liable for all outstanding fees

• Sections that by their nature should survive (including Intellectual Property, Indemnity, Limitation of Liability, Governing Law) remain in effect

Section 15: Indemnity

15.1 You agree to indemnify, defend, and hold harmless UCMHP Academy Pte. Ltd., its directors, officers, employees, trainers, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms

• Your violation of any law or third-party rights

• Your misuse of the Services or materials

• Any User Content you submit

• Any unauthorized use of your account due to your failure to safeguard login credentials

Section 16: Disclaimer and Limitation of Liability

16.1 Disclaimer:

• All Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

• We do not guarantee uninterrupted access, error-free content, or specific outcomes.

16.2 Limitation of Liability

• To the fullest extent permitted by law, UCMHP Academy Pte. Ltd., its trainers, employees, and representatives shall not be liable for:

a. Any indirect, incidental, special, consequential, or punitive damages

b. Loss of profits, revenue, data, goodwill, or other intangible losses

arising from or related to your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

16.3 Liability Cap

• Our total aggregate liability to you for all claims arising out of or related to these Terms or the Services, whether in contract, tort, or otherwise, shall not exceed the total fees you paid to UCMHP Academy in the six (6) months preceding the event giving rise to the claim.

16.4 Exclusions

• Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded or limited by Singapore law.

Section 17: Force Majeure

17.1 UCMHP Academy shall not be liable for any failure or delay in performing its obligations under these Terms due to a Force Majeure Event.

17.2 In the event of a Force Majeure Event, we may cancel, reschedule, or change the delivery format (e.g., move to online delivery) of any course, workshop, or service. Any refunds or credits will be handled in accordance with our Refund Policy.

Section 18: Assignment and Transfer

18.1 You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent.

18.2 We may assign or transfer our rights and obligations under these Terms to an affiliate, subsidiary, or in connection with a merger, acquisition, or sale of assets, without restriction.

Section 19: Notices and Communication

19.1 All notices, updates, and communications from UCMHP Academy may be sent to you by email, SMS, or via the online platform, using the contact information you provided during registration.

19.2 Notices are deemed received when sent to your last email address or mobile number on file. It is your responsibility to keep your contact information up to date.

Section 20: Dispute Resolution

20.2 If the matter is not resolved within thirty (30) days, either party may refer the dispute to mediation administered by the Singapore Mediation Centre, before resorting to litigation.

20.3 Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from the courts.

Section 21: Entire Agreement and Severability

21.1 These Terms, together with our Privacy Policy, Refund Policy, and any other referenced policies, constitute the entire agreement between you and UCMHP Academy and supersede any prior agreements, communications, or understandings.

21.2 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

Section 22: Governing Law and Jurisdiction

22.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.

22.2 You agree to submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any disputes arising out of or relating to these Terms.

Section 23: Waiver

23.1 No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

• Notify the Personal Data Protection Commission (PDPC) as soon as practicable, and in any case within three (3) calendar days of assessing the breach as notifiable;

• Notify you as soon as practicable, at the same time as or after notifying the PDPC, with information about the nature of the breach, the personal data affected, the potential impact, and the steps you can take to protect yourself.

7.3 We maintain incident response and data breach management procedures to ensure timely assessment, containment, and notification in the event of a breach.

10.3 We will respond to your request within thirty (30) days, or such longer period as permitted by the PDPA. We may charge a reasonable administrative fee for processing certain requests, in accordance with PDPA guidelines.

10.4 We reserve the right to refuse requests that are frivolous, vexatious, repetitive, or otherwise unreasonable, or where we are not legally required to comply.

Section 11: Marketing and Promotional Communications

11.1 With your consent, we may send you marketing and promotional communications about our courses, workshops, events, products, and services via email, SMS, or other channels.

11.2 You may withdraw your consent to receive marketing communications at any time by:

• Clicking the "unsubscribe" link in our emails;

• Replying "STOP" to our SMS messages; or

• Contacting our Data Protection Officer at the details below.

11.3 Please note that even if you opt out of marketing communications, we may still send you non-promotional, service-related messages (such as enrollment confirmations, payment receipts, or important policy updates).

12.1 Our Services are not intended for individuals under the age of 18, except with parental or guardian consent.

REFUND AND EXCHANGE POLICY

This Refund and Exchange Policy ("Policy") applies to all courses, programs, workshops, events, products, and services (collectively, the "Services") offered by UCMHP Academy Pte. Ltd. ("UCMHP", "we", "us", or "our"). By enrolling in any course or program, or by purchasing any product or service from UCMHP, you acknowledge that you have read, understood, and agree to be bound by this Policy, which forms part of our General Terms and Conditions of Services.

Section 1: General Principles

1.1 This Policy sets out when refunds or exchanges may be considered. As a general rule, all sales are final once a purchase is confirmed, subject only to the limited circumstances described in this Policy.

1.2 All refund requests are subject to review and investigation by UCMHP Management and may be approved or rejected at our sole discretion, in accordance with this Policy and applicable law.

1.3 Refund requests must be submitted in writing using our official Refund Application Form or via the contact details published on our website, together with any supporting documents reasonably requested by us.

1.4 The evaluation and approval process may take up to ninety (90) business days from the date we receive all required information.

1.5 Where a refund is approved, it will be processed within thirty (30) business days from the date of our written approval, using the original mode of payment (where practicable) or any other reasonable method determined by us.

1.6 Transaction fees and charges imposed by banks, payment gateways, or third-party platforms are non-refundable and will not be reimbursed by UCMHP.

Section 2: Courses, Programs, Workshops and Events

2.1 No refunds will be provided for course, program, workshop, or event registrations in any of the following situations:

• Course or workshop materials, tools, bonus items, or package inclusions have been accessed, downloaded, collected, or claimed by you; or

• The course, program, workshop, or event has commenced; or

• Access to any part of the course portal, online materials, or sessions has been granted to you.

2.2 In exceptional circumstances, and strictly without obligation, UCMHP Management may approve a partial refund for a course, program, workshop, or event despite clause 2.1 above.

2.3 Where such an exceptional refund is approved, the following conditions apply:

• The maximum refund amount shall be seventy-five per cent (75%) of the total amount actually paid by you for the relevant course, program, workshop, or event;

• Your written refund request must be received by UCMHP at least fourteen (14) business days before the published commencement date of the course, program, workshop, or event; and

• You must not have accessed or claimed any course materials, tools, bonus items, or package inclusions.

2.4 UCMHP may, at its discretion, offer you an option to transfer your enrolment to a later run of the same course, or to another course of similar value, instead of a refund. Any such transfer option will be communicated to you in writing and may be subject to additional conditions (e.g., top-up of price differences or administrative fees).

2.5 UCMHP reserves the right to reschedule, postpone, or change the format (including from in-person to online or hybrid) or the trainer of any course, program, workshop, or event. Such changes will not, by themselves, entitle you to a refund, but UCMHP will make reasonable efforts to offer suitable alternatives where feasible, subject to this Policy.

Section 3: Digital Products

3.1 Due to the nature of digital products, all sales of digital products are final and strictly non-refundable.

3.2 Digital products include, without limitation, profiling tools, e-books, online assessments, downloadable resources, recorded sessions, and any other content delivered in digital or electronic form.

3.3 By purchasing a digital product, you acknowledge that you will not be entitled to any refund, exchange, or credit once the purchase has been completed, regardless of whether you subsequently access or use the digital product.

Section 4: Physical Products

4.1 All sales of physical products are final, and no refunds will be provided once an item has been sold, except as required by applicable law.

4.2 Exchanges are only available if the physical product you received is damaged or defective due to our error, subject to the conditions below.

4.3 To request an exchange for a damaged or defective product:

• You must notify us in writing within thirty (30) business days from the date you received the product;

• Your request must be supported by clear photo or video evidence of the damage or defect; and

• The product must be unused, in its original packaging (where possible), and returned in accordance with our instructions.

4.4 If, after review, we confirm that the damage or defect is due to our error, UCMHP will arrange an exchange for the same or a similar product (where the original product is unavailable) and will bear reasonable shipping costs for the exchange.

4.5 If the damage or defect is not attributable to UCMHP (for example, if it is caused by mishandling after delivery or by a third-party carrier outside our control), UCMHP may, but is not obliged to, offer an exchange or a goodwill arrangement, at our sole discretion.

Section 5: Installments, Deposits and BNPL

5.1 UCMHP does not offer in-house installment plans for any products, services, courses, programs, or workshops.

5.2 All purchases must be paid in full via cash, bank transfer, card payment, or approved Buy Now, Pay Later ("BNPL") platforms.

5.3 If you choose to pay via a BNPL platform, you acknowledge that:

• Your installment arrangement is a separate contract between you and the BNPL provider;

• The BNPL provider's terms and policies apply to your installment plan; and

• UCMHP is not responsible for, and shall not be liable for, any issues, fees, interest, penalties, or disputes arising from your use of any BNPL platform.

5.4 Any refunds approved by UCMHP in respect of purchases made via BNPL will be processed in accordance with this Policy. The timing and manner in which any refunded amounts are applied to your BNPL agreement will be subject to the BNPL provider's processes, which are outside UCMHP's control.

5.5 For participants enrolled in our Discipleship Training Program, a separate installment and refund policy applies, which will be communicated to you at the point of enrolment. In the event of any inconsistency, the specific Discipleship Training Program policy shall prevail for that program.

Section 6: Transaction Fees

6.1 All transaction-related fees, including but not limited to charges imposed by payment gateways, banks, card issuers, or third-party platforms, are strictly non-refundable.

6.2 Where a refund is approved under this Policy, any such transaction fees will not be included in the refunded amount.

Section 7: Compliance with Law and Consumer Rights

7.1 Nothing in this Policy is intended to exclude or limit any rights you may have under applicable consumer protection laws in Singapore, to the extent such rights cannot be excluded or limited by agreement.

7.2 In the event of any conflict between this Policy and any non-excludable statutory rights, the relevant statutory rights shall prevail to the extent of the conflict, and the remainder of this Policy shall continue in full force and effect.

• The information provided in your request is true, accurate, and complete to the best of your knowledge; and

• You have read, understood, and agree to be bound by this Policy and our General Terms and Conditions of Services.
